Click here to share with us: http://bit.ly/successSTORIES How to Analyze Consideration on a Contracts Essay ("The Bargained-For Exchange") CONTRACT FORMATION A traditional, enforceable contract is formed when there is: (1) mutual assent between the parties (offer + acceptance); and (2) consideration. CONSIDERATION In most jurisdictions, an agreement is supported by consideration when: (1) there is a bargained-for exchange between the parties; and (2) the exchange establishes a legal detriment to the promisee. A minority of courts hold that a legal detriment to the promisee OR a benefit to the promisor is sufficient if there is a bargained-for exchange. However, most courts only focus on whether the promisee incurred a legal detriment, irrespective of a benefit to the promisor. THE BARGAINED-FOR EXCHANGE A bargained-for exchange requires reciprocal inducement – that the promise induces the promisee to incur his legal detriment and that the legal detriment induces the promisor to make his promise. LEGAL DETRIMENT A legal detriment generally consists of: (1) promising to do something the party has no prior legal duty to do; (2) performing an action that the party is not otherwise obligated to undertake; or (3) refraining from exercising a legal right which the party is otherwise entitled to exercise. Promising not to sue (settlement of a legal claim) will act as a legal detriment so long as the party promising not to sue has an honest and good faith belief in the validity of the claim. EXAMPLES OF INVALID CONSIDERATION Gift promises and conditional gifts are NOT consideration (e.g., A promises to give B his truck if B will pick the truck up from A's house. A's promise to give B his truck is not induced by B coming to pick the truck up. Thus, A is not bargaining for B to come. This is a conditional gift, not bargained-for consideration.). Past consideration is NOT consideration (e.g., A's truck catches fire as A is demonstrating the truck’s safety features. B rushes over and extinguishes the flames saving A's life. Grateful, A promises to pay B $100 for the rescue. This is past consideration, not bargained-for consideration.). A pretense of consideration or nominal consideration is NOT consideration (e.g., A and B are cousins. A wishes to give B his truck that is valued at $10,000 as a gift for B's birthday. Attempting to form an enforceable contract, A "sells" B his truck for $1 to meet the consideration requirement. This is a pretense of consideration, not bargained-for consideration.). An illusory promise is NOT consideration. An illusory promise occurs when the promisor fails to clearly commit to the deal (e.g., A promises to buy B's truck if “he feels like it.” This is an illusory promise, not bargained-for consideration.). [2018] UKSC 24 UKSC 2016/0152 Rock Advertising Limited (Respondent) v MWB Business Exchange Centres Limited (Appellant) On appeal from the Court of Appeal Civil Division (England and Wales) The Respondent occupied as licensee premises managed by the Appellant under a written licence agreement. The agreement contained a clause stipulating that all variations to the licence must be made in writing. The Respondent fell behind on its payments, and representatives of the parties discussed rescheduling the Respondent’s debt over the telephone on 27 February 2012. That same day the Respondent paid the Appellant the first instalment due under this proposed schedule. On 29 February the Appellant’s representative informed the Respondent that this was less than the licence fee due. No further payments had been made when on 30 March 2012 the Appellant purported to exercise its right under the licence agreement and locked the Respondent out of the Premises and shortly afterwards gave notice to terminate the agreement. The Appellant issued proceedings to recover the arrears. The Respondent argued that the licence had been orally varied on 27 February 2012 so that it had not been in breach of the varied agreement as of 30 March 2012. The judge held that an oral agreement had been entered into on 27 February 2012, supported by consideration in the practical benefit that the Respondent would honour some and hopefully all of its obligations, but that this was not enforceable due to the anti-oral variation clause contained in the licence. The issues are: Whether an agreement in writing which contains an anti-oral variation clause can be varied other than in accordance with the terms of that clause. Whether the Court of Appeal was wrong to follow a previous Court of Appeal decision in which a relevant contrary authority had not been cited, or a later Court of Appeal decision which considered both earlier decisions and rejected that contrary authority but did so obiter. Whether on the findings of fact by the trial judge, there was a practical benefit which could amount to consideration at law, given the principle that a promise to pay an existing liability cannot amount to good consideration per Re Selectmove [1995] 1 WLR 474. The Supreme Court unanimously allows the appeal. Lord Sumption gives the lead judgment, with which Lady Hale, Lord Wilson and Lord Lloyd-Jones agree. Lord Briggs gives a concurring judgment

What is the difference between a fixed and floating exchange ratio in a stock-for-stock purchase consideration? The exchange ratio is the relative number of new shares that will be given to existing shareholders of a company that has been acquired or has merged with another. In a floating exchange ratio, the number of acquirer shares exchanged for the target’s shares fluctuates so as to ensure a fixed value for the target’s shareholders. A fixed exchange ratio is a ratio of how many shares of the acquirer’s stock are exchanged for each share of the target’s stock In general, a floating exchange ratio (“Fixed Price”) is used when the acquirer is significantly larger than the target. It is justified in these cases on the basis that while a significant decline in the target’s business does not materially impact the value of the acquirer, the reciprocal is not true. Sizing, designing, and configuration are an integral and one of the most critical parts of any Exchange deployment. Also, this step involves consideration of a lot of factors that would affect the performance and functioning of the messaging infrastructure. The main idea behind writing this book was to put all the related information in one place in a step wise and easy to understand manner. There are many articles regarding sizing and designing of Exchange messaging infrastructure including information on how to use the brilliant tools (like ‘Exchange Role Requirement Calculator, Processor Query tool, etc.) provided by Microsoft Exchange team. However, this information was scattered. Also, there was no clarity about where to start, what information to look for and what other components/factors are involved and how to incorporate all that information in the designing and sizing process. I would also like to point that though the primary target audiences of this book are people who work on sizing, designing, and implementation of Exchange messaging infrastructure or people who are eager to learn the same; this book would prove to be equally useful to anyone who wants to understand an Exchange solution from end to end.
