(Buying or selling at market means you will accept any ask price or bid price for the stock, respectively.) When the bid and ask prices match, a sale takes place, on a first-come-first-served basis if there are multiple bidders or askers at a given price. The purpose of a stock exchange is to facilitate the exchange of securities between buyers and sellers, thus providing a marketplace (virtual or real). The exchanges provide real-time trading information on the listed securities, facilitating price discovery. The New York Stock Exchange is a physical exchange, also referred to as a listed exchange -- only stocks listed with the exchange may be traded. Orders enter by way of exchange members and flow down to a floor broker, who goes to the floor trading post specialist for that stock to trade the order. The specialist's job is to match buy and sell orders using open outcry. If a spread exists, no trade immediately takes place—in this case the specialist should use his/her own resources (money or stock) to close the difference after his/her judged time. Once a trade has been made the details are reported on the "tape" and sent back to the brokerage firm, which then notifies the investor who placed the order. Although there is a significant amount of human contact in this process, computers play an important role, especially for so-called "program trading". The NASDAQ is a virtual listed exchange, where all of the trading is done over a computer network. The process is similar to the New York Stock Exchange. However, buyers and sellers are electronically matched. One or more NASDAQ market makers will always provide a bid and ask price at which they will always purchase or sell 'their' stock...

The Dutch East India Company, formed to build up the spice trade, operated as a colonial ruler... Control of the company was held tightly by its directors, with ordinary shareholders not having much influence on management or even access to the company's accounting statements. However, shareholders were rewarded well for their investment. The company paid an average dividend of over 16 percent per year from 1602 to 1650. Financial innovation in Amsterdam took many forms. In 1609, investors led by one Isaac Le Maire formed history's first bear syndicate, but their coordinated trading had only a modest impact in driving down share prices, which tended to be robust throughout the 17th century. By the 1620s, the company was expanding its securities issuance with the first use of corporate bonds. Joseph de la Vega, also known as Joseph Penso de la Vega and by other variations of his name, was an Amsterdam trader from a Spanish Jewish family and a prolific writer as well as a successful businessman in 17th-century Amsterdam. His 1688 book Confusion of Confusions... was the earliest book about stock trading... William sought to modernize England's finances to pay for its wars, and thus the kingdom's first government bonds were issued in 1693 and the Bank of England was set up the following year. Soon thereafter, English joint-stock companies began going public. London's first stockbrokers, however, were barred from the old commercial center known as the Royal Exchange, reportedly because of their rude manners. Instead, the new trade was conducted from coffee houses along Exchange Alley. By 1698, a broker named John Castaing, operating out of Jonathan's Coffee House, was posting regular lists of stock and commodity prices. The two biggest stock exchanges in the world, in terms of total market capitalization value of the shares listed, are the New York Stock Exchange (NYSE) and the NASDAQ. But which of these two stock exchanges has the highest number of “mega caps”? Take your guess and find out in this Finance Storyteller video. The Board of Reliance Power approved a proposal for issuing bonus shares to all categories of shareholders, excluding the promoter group (comprising the Reliance Energy Limited and the Anil Dhirubhai Ambani Group), in the ratio of 3 shares for every 5 shares held. This announcement came in a short span of time (just 10 trading days) since the company was listed on the stock exchanges on February 11, 2008, which saw a steep fall in its share price by 11 to 15 per cent compared to its initial offer price. The offer will reduce the cost of Reliance Power shares below its Initial Public Offer (IPO) price: Rs.269 per share for retail investors, 40 per cent lower than the IPO price of Rs.430; and Rs.281 per share for other investors, 37 per cent lower than the IPO price of Rs. 450. In a related development, Anil D. Ambani, Chairman, Reliance ADA Group, announced a voluntary contribution of 2.6 per cent of his shareholding in Reliance Power to the Reliance Energy Limited to protect the company from any dilution of its existing 45 per cent stake in Reliance Power, as a result of the bonus proposal. Reliance Energy’s stake will be maintained at 45 per cent. In the revised shareholding pattern, Mr. Ambani’s holding in Reliance Power gets reduced from 45 to 40 per cent, Reliance Energy’s holding maintained at the same level of 45 per cent and the shareholding of the public has increased from 10 to 15 per cent. The reduction of Mr. Ambani’s shareholding represents a contribution of nearly Rs. 5,000 crore by him in favour of nearly 6 million investors in Reliance Energy and Reliance Power. Based on the proposal for issuance of bonus shares, the paid-up capital of the company will stand increased to 239.7 crore equity shares of Rs.10 each. Reliance Power Limited is the flagship company of the Reliance ADA Group to develop, construct and operate power generation projects. The company is currently developing 12 power projects with a combined planned installed capacity of 28,000 MW, one of the largest portfolios of power generation assets under developments. The Direct Listing Process for Trading on NASDAQ and NYSE- NASDAQ has allowed for a direct listing although historically it has rarely been used. The process to achieve a direct listing on NASDAQ is substantially the same as OTC Markets with some key differences. This section will only discuss the differences. The biggest difference is that when completing a direct listing onto an exchange, the exchange issues a trading symbol upon effectiveness of the registration statement and filing of an 8-A, and the shares are then available to be sold by the selling stockholders at prevailing market prices. An S-1 registration statement is a registration statement filed under the Securities Act of 1933. In order to qualify to trade on a national exchange, a company must also be registered under the Securities Exchange Act of 1934. This is not a requirement for OTC Markets. A Form 8-A is a simple (generally 2-page) Exchange Act registration form used instead of a Form 10 for companies that have already filed the substantive Form 10 information with the SEC (generally through an S-1). When the Form 8-A is for registration with a national securities exchange under Section 12(b) of the Exchange Act, the 8-A becomes effective on the later of the day the 8-A if filed, the day the national exchange files a certification with the SEC confirming the listing, or the effective date of the S-1 registration statement. An NYSE direct listing follows the same process on NASDAQ; however, previously NYSE rules required an underwriter to determine or at least sign off on valuation in connection with an initial public offering. On February 2, 2018, the SEC approved a proposed rule change by the NYSE to allow a company that had not previously been registered with the SEC and which is not being listed as part of an underwritten initial public offering, to apply for and if qualified, trade on the NYSE. The amended rules modify the provisions relating to qualification of companies listing without a prior Exchange Act registration in connection with an underwritten initial public offering and amend Exchange rules to address the opening procedures on the first day of trading of such securities. TRANSCRIPT ------------------------------------ As you know, BSE and NSE are the two biggest stock exchanges in India. There are lot more exchanges, but they are insignificant in terms of size. First, let’s get some facts about these two exchanges • BSE was established back in 1875! NSE is a relatively new exchange • BSE is Asia’s oldest stock exchange; in case you’re wondering which is world’s oldest that would be Amsterdam Stock Exchange. • BSE has over 5000 listed companies and NSE has about 2000 • BSE is a publicly listed company whereas NSE is still a privately held company. It’s coming with an IPO rather soon. • These are their respective official websites It’s important to remember that they both operate under SEBI’s guidelines. Ever since NSE was established, there has been a fierce battle between the two to attract more trading volume. After all, the more trading on the exchange, the more money they make. Let’s see who is wining the battle for attracting traders like you and me. Round 1: Liquidity Liquidity is the mother’s milk for traders. After all, higher liquidity means tighter spreads, lower slippages and ease of entry and exit in the trades. Liquidity is especially important for intraday and swing trades. So, let’s check turnover of the two exchanges. Turnover refers to the value of the shares traded during a certain period. Measured in rupees, of course. Turnover is a direct reflection of liquidity on that exchange. Higher turnover means that more traders are trading on the exchange. This is the comparison of BSE and NSE’s turnover for past 3 years. The blue bars are for NSE and red one sfor BSE. It should be obvious from this that NSE clearly has much higher turnover and BSE has not been able to catch up. Putting simply, NSE has the lion’s share in the cash turnover. Meaning much more traders are buying and selling shares at NSE than BSE. Let’s take a specific stock and see what it all means. We’ll go with ICICI Bank. On 3rd July 2018, about 5 lakh shares were traded on BSE and about twice as much on NSE. It means that if you were trading shares of ICICI bank, you had better spreads, lower slippages and easier entry and exits in the trade. So it should be obvious that NSE clearly wins the first round for liquidity in the cash market. Now, let’s go to Round 2: Trading in derivatives. Liquidity is even more critical in derivatives. Without liquidity, a derivatives trader is a dead man. Just like in the cash segment, NSE is the most liquid exchange for derivatives– that is futures and options. In fact, NSE is the undisputed leader. So much so that BSE doesn’t even come close. Look at that – 90% of the trading in derivatives happen on NSE. We’ll take an example ..let’s say you want to trade derivatives of India’s biggest private sector bank: HDFC Bank. Here’s the volume on NSE..I know it’s kind of hard to read. Now, let’s see BSE. Hm…nothing ! Yes, zero, not a single derivative traded on the BSE exchange. You have no other option but to trade at NSE. Also, when it comes to trading in indices, NIFTY and Bank Nifty are the most liquid scripts and they both trade on NSE. It’s safe to say NSE won the second round too! Round 3: we will compare the variety of stocks As you know, BSE has over 5000 stocks and NSE has fewer than 2000. Why is that. May be because NSE is too stringent about its listing and reporting norms. BSE is a little too eager to get even the low-quality stocks. What does it mean for us? Well, for an intraday or swing trader, every stock that is tradable is listed on both the exchanges. So it doesn’t really matter. However, it’s different for investors. Investors, especially those interested in microcaps, have much more choices available on BSE than NSE. From that stand point, BSE wins this round. What about the cost of trading on the exchanges? Well, they are more or less similar and the difference is insignificant. Overall, I think NSE clearly wins this battle because It has better liquidity in the cash market It is better for retail traders, especially day traders. And because it is the only viable option when it comes to derivatives trading. What does it all mean for you? If you are an intraday trader, trade on NSE

(Today, this is somewhat outdated...) The NYSE Another way of looking at stocks is by where the stocks are traded. Most of the large blue chip stocks are traded on the New York Stock Exchange. The NYSE, also called the Big Board, lists about 3,000 firms, including many foreign companies. The NYSE uses an auction method of trading stocks where a so-called specialist matches buy and sell orders. AMEX This method of trading stocks is also seen on the American Stock Exchange, or AMEX. The AMEX is smaller than the NYSE, and the AMEX lists a relatively large number of energy companies. NASDAQ The Big Board's main competitor, however, is the NASDAQ market. Although NASDAQ lists 5,000 companies, or 2,000 more companies than the NYSE, the total market capitalization of the Big Board is larger than NASDAQ. This is because NASDAQ lists smaller, newer companies. However, many multi-billion dollar companies like Intel and Microsoft are listed on NASDAQ. NASDAQ, however, uses a different method of trading stocks. Unlike the NYSE, NASDAQ does not use specialists to match buy and sell orders. Instead, NASDAQ features a number of so-called market makers. These market makers must offer bid and ask prices for those stocks that they make a market in. A number of market makers are supposed to maintain an orderly and competitive market, and market makers can keep inventories of stocks. In fact, the ability to buy and sell stocks from their inventory gives market makers a good chance to make money. The over-the-counter market In addition to the NASDAQ, there's the so-called over-the-counter market. This market includes nearly 30,000 publicly traded companies, but the trading volume of these stocks is low. Prices of these stocks used to be published on pink paper, so these stocks are still sometimes called pink sheet stocks. These stocks aren't listed on any of the major exchanges, but they are still publicly traded. Many of these stocks are low-priced, so-called penny stocks. Penny stocks If you ever get a cold call from a broker trying to sell you a fast-rising but unknown company, think twice before buying the stock. Many of these stocks are thinly traded, so it's easy for a few people to ramp up the price of the stock by trading the stock amongst themselves. This can produce spectacular price increases, and provides evidence that the stock can "only go up". On the way up the original investors cash out as pushy brokers sell the stock to outside investors who provide the escape mechanism. However, after the original speculators leave, trading volume in the stock dries up, and the outsiders are left holding expensive shares that they can't sell to anyone at any price. There are many excellent, small companies that aren't listed on the major stock exchanges, but unless you know what you're doing here's a good piece of advice : Don't buy any stock whose value you can't determine by looking it up in your local newspaper. The company owns and operates businesses that are licensed to grow and sell weed in Canada, where medical marijuana is legal. It is Australia's biggest public float since Telstra -- Queensland rail company QR National was listed on the stock exchange today. The sale is the centrepiece of a suite of contentious asset sales by the Queensland Government.
